Welcome to XYZ Marketplace. By accessing or using our platform, you agree to be bound by these Terms of Service (“Terms”). Please read them carefully.
1. Acceptance of Terms
By creating an account or making a purchase on XYZ Marketplace, you confirm you are at least 18 years old (or 16 with parental consent) and agree to these Terms and our Privacy Policy.
2. Platform Description
XYZ Marketplace is a digital marketplace where creators sell and buyers purchase downloadable digital products including documents, templates, media kits, guides, and other digital assets.
3. Creator Accounts
- Creators must provide accurate information during onboarding and maintain up-to-date payout details.
- You represent and warrant that all products you list are original, do not infringe any third-party intellectual property rights, and comply with applicable laws.
- XYZ Marketplace reserves the right to remove any listing that violates these Terms, with or without prior notice.
- Transaction fees apply: Free plan 10%, Pro plan 7%, Growth plan 5%.
4. Buyer Accounts
- All sales are of digital products. Once a file has been downloaded, the purchase is considered used.
- Buyers may request a refund within 7 days of purchase if the product is materially different from its description or is defective.
- Chargebacks initiated outside our refund process may result in account suspension.
5. Prohibited Content
You may not list, upload, or distribute:
- Plagiarised, pirated, or unlicensed content
- Explicit sexual or violent material
- Malware, spyware, or harmful software
- Content that promotes hate, discrimination, or illegal activities
- Misleading or fraudulent materials
6. Intellectual Property
Creators retain ownership of their content. By listing on XYZ Marketplace, you grant us a non-exclusive, royalty-free license to display, promote, and deliver your products to buyers. Buyers receive a personal, non-transferable license to use purchased products unless the listing specifies otherwise.
7. Payments & Payouts
Payments are processed via Paystack. Creators can request payouts once their balance exceeds the minimum threshold. Payouts are subject to our fee schedule and Paystack's transfer policies. We reserve the right to withhold payouts pending fraud investigation.
8. Subscriptions
Creator Pro ($10/month) and Growth ($29/month) plans are billed monthly. Subscriptions auto-renew and can be cancelled at any time. No partial refunds for mid-cycle cancellations unless required by applicable law.
9. Platform Fees for Featured Placements
Sponsored homepage and search placements are charged separately. Placement fees are non-refundable once a placement period has commenced.
10. Limitation of Liability
XYZ Marketplace is a marketplace platform and is not liable for the quality, accuracy, or legality of products listed by creators. Our total liability to you for any claim shall not exceed the greater of the fees paid by you in the preceding 3 months or $100.
11. Termination
We may suspend or terminate accounts that violate these Terms. You may close your account at any time by contacting support. Creator payouts of verified balances will be processed within 30 days of account closure.
12. Governing Law
These Terms are governed by the laws of the Republic of Ghana. Disputes shall be resolved in the courts of Accra, Ghana.
13. Changes to Terms
We may update these Terms from time to time. We will notify you by email or in-platform notice at least 14 days before material changes take effect. Continued use constitutes acceptance.
